Pursuant to Section 474 of the Companies Ordinance (Cap. 622), a limited company incorporated in Hong Kong is required to have a Company Secretary. This is a prerequisite at the time of incorporation. From the date of the company’s establishment, the person designated as the company secretary on the incorporation form will serve as the company’s first company secretary.
Appointing a reliable company secretary in Hong Kong is crucial for several compelling reasons:
Compliance and Governance: A company secretary ensures that your business meets all statutory obligations and adheres to corporate governance standards, which are essential for maintaining good standing and avoiding legal pitfalls.
Operational Support: They handle essential tasks such as maintaining statutory books, organizing annual general meetings, and managing company records, which helps streamline operations and ensures everything runs smoothly.
Strategic Advisory: Company secretaries serve as advisers to the board, providing guidance on compliance issues, directorial responsibilities, and corporate governance, which are crucial for informed decision-making and maintaining corporate integrity.
Risk Management: By staying up-to-date with regulatory changes and managing compliance-related tasks, a company secretary helps mitigate risks associated with non-compliance, which can include hefty fines and reputational damage.
Interface for Stakeholder Relations: They play a key role in managing communications between the company’s management, its shareholders, and external stakeholders like auditors and regulators, which is vital for maintaining trust and transparency.
At CW, we understand that your time and resources would be better spent on delivering value for your business. Needing to keep track of the constantly evolving and increasingly complex regulatory landscape only adds to your compliance burden.
